By downloading, installing, or using TaxHarbor (the "App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not download, install, or use the App. You must be at least 18 years old to use the App or to agree to these Terms on behalf of yourself.
The App provides estimates only, generated from a simplified calculation based on figures published by the IRS and Social Security Administration (see the "Tax data sources" table in this project's README.md). The App:
You are solely responsible for verifying any figure before relying on it or making a payment to the IRS or any state tax authority.
TaxHarbor is an independent, privately developed application. It is not affiliated with, endorsed by, sponsored by, or in any way officially connected with the Internal Revenue Service, the Social Security Administration, the U.S. Department of the Treasury, or any other government agency. References to official government figures are for informational sourcing only.
The App's tax calculations model U.S. federal tax rules only, plus an optional user-entered flat-rate state tax approximation. It is not intended for, and does not support, the tax rules of any country other than the United States. A distance-unit setting (miles/kilometers) is offered for data-entry convenience only and does not extend the App's tax modeling to any non-U.S. jurisdiction. If you are located outside the United States, the tax content in this App does not apply to you.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a device you own or control, solely for your own personal or internal business use, in accordance with the usage rules set out in the applicable App Store's or Google Play's terms of service. You may not: copy, modify, distribute, sell, lease, or create derivative works of the App; reverse-engineer or decompile the App except to the extent applicable law expressly permits; or remove any proprietary notices. The App, its name, logo, and underlying code (excluding open-source components, which remain governed by their own licenses) are owned by us or our licensors and are protected by intellectual property laws. No rights are granted to you other than as expressly stated in these Terms.
The App stores your data locally on your device. See PRIVACY.md for full details, including how the optional GPS trip tracker and the optional client-name field are handled. You are responsible for backing up your own data (via the in-app backup export feature) and for keeping any exported file secure. We have no access to, and cannot recover, data you have not backed up yourself if it is lost (for example, due to device loss, damage, or uninstalling the App).
If the App offers a paid subscription tier: pricing, billing frequency, and auto-renewal terms are clearly displayed before purchase, consistent with applicable state auto-renewal laws. Subscriptions renew automatically at the then-current price until cancelled. You can cancel at any time through your Apple ID or Google Play account settings; cancellation takes effect at the end of the current billing period, and you retain access to paid features through that period. All payment is processed by Apple or Google, not by us directly — refunds are handled under their standard policies, and we do not have the ability to issue refunds ourselves. Free trials, if offered, convert automatically to a paid subscription at the end of the trial period unless cancelled before it ends.
You represent that you are not located in a country subject to a U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations in your use of the App.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY CALCULATION, ESTIMATE, OR DEADLINE SHOWN IN THE APP IS ACCURATE, COMPLETE, OR CURRENT, OR THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US CREATES A WARRANTY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION ANY TAX PENALTY, INTEREST, UNDERPAYMENT, LOST PROFITS, OR LOST DATA, ARISING FROM YOUR USE OF OR RELIANCE ON THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS RELATED TO THE APP IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $20. IF YOU USED THE FREE TIER ONLY, OUR TOTAL LIABILITY IS $0 TO THE EXTENT PERMITTED BY LAW.
Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, so some of the above limitations may not apply to you, and you may have additional rights.
You agree to indemnify, defend, and hold us harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your violation of these Terms; or (c) your violation of any law or the rights of a third party.
We may suspend or discontinue the App, or your access to it, at any time, with or without cause. You may stop using the App at any time and delete your local data via the "Clear all data" option in Settings, or by uninstalling the App. Sections 2, 3, 5, 6, 9, 10, 11, and 13 survive termination of these Terms.
The developer of this App is an individual based in Israel, not a U.S. entity. This shapes how disputes are handled below.
Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at the contact information in §15. We will try to resolve the dispute informally as well. If a dispute is not resolved within 60 days of the notice, either party may proceed as set out below.
Arbitration option. Except for claims that qualify for small-claims court, or claims for injunctive relief regarding intellectual property, either party may elect to resolve a dispute arising out of or relating to these Terms or the App by binding arbitration before a single arbitrator, seated in Israel, conducted in English, rather than in court. Absent such an election by either party, disputes proceed in the courts described below.
Class action and jury trial waiver. To the extent permitted by applicable law, you and we each waive any right to participate in a class action, class arbitration, or representative action against the other; disputes are to be brought only on an individual basis. (This waiver may not be enforceable in all circumstances or jurisdictions — see the note below.)
Your right to opt out of arbitration. You may opt out of the arbitration option and the class action/class arbitration waiver in this §13 entirely. To do so, send written notice to the contact address in §15 within 30 days of the date you first agree to these Terms (for example, first installing or opening the App), stating your name and that you opt out of arbitration. If you opt out, disputes between you and us proceed in the courts identified below, and neither of us is bound by the arbitration option or the class-action/class-arbitration waiver — though the informal- resolution step above still applies. Opting out of arbitration does not affect any other part of these Terms.
Governing law and courts. These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles. For any dispute not resolved by arbitration under the option above, you and we agree to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa, Israel.
A practical note on this clause (not boilerplate — read this): because the App is U.S.-tax-focused and expected to be used mainly by U.S. consumers, while the developer is based in Israel with no U.S. legal entity, an Israel-governing-law/Israel-forum clause is honest about where the developer actually is — but foreign forum-selection and governing-law clauses in consumer contracts with U.S. users can face real enforceability pushback in U.S. courts (some U.S. courts and state consumer-protection statutes disfavor forcing a domestic consumer to litigate abroad). In practice, for a solo/small developer this risk is usually low (few individual consumers litigate over a low-cost app subscription at all), but if this app grows or you want a more standard, more defensible-in-the-U.S. posture, the common fix is forming a low-cost U.S. entity (e.g., a Delaware or Wyoming LLC via a formation service — commonly a few hundred dollars) and re-issuing these Terms under that entity's name with U.S. governing law. This is a business decision, not something to resolve automatically — flagging it here so it's a conscious choice rather than an accident.
If you downloaded the App from the Apple App Store, the following additional terms apply and, in the event of a conflict, take precedence over the corresponding provisions above for disputes with Apple (they do not limit your rights against Apple beyond what Apple's own terms provide):
Questions about these Terms, or notices under §13, can be directed to the
developer at guyrofe@gmail.com, or at the contact information listed on
this app's App Store / Google Play listing.
Entire agreement. These Terms, together with PRIVACY.md, constitute the entire agreement between you and us regarding the App and supersede any prior agreements. Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision. Assignment. You may not assign these Terms without our consent; we may assign these Terms without restriction. Force majeure. We are not liable for any failure to perform due to causes beyond our reasonable control. Changes to these Terms. We may update these Terms from time to time; continued use of the App after a change constitutes acceptance of the revised Terms, and the "Last updated" date above reflects the most recent revision.
